A materials specialist providing synthetic resins, chemicals, electronics materials, packaging materials, and diX coating. In order for corporate governance to function effectively, the company regards it as an important management issue to build and maintain an organizational structure capable of responding swiftly to changes in the business environment, as well as a fair management system that places importance on shareholders. In addition, to strengthen corporate governance, we strive to thoroughly enforce compliance, ensure the transparency and soundness of management, and practice efficient management. As of June 23, 2023 (Reiwa 5), the Board of Directors consists of six directors and is structured to swiftly deliberate and decide on important matters such as basic management policies and to efficiently supervise the execution of business. The Board of Directors meets in principle once a month, and four auditors also attend and may state opinions when they deem it necessary. Furthermore, executive officers also attend the Board of Directors and are able to speak on their assigned and other duties. As a body to deliberate and decide on important matters other than those resolved by the Board of Directors, the company introduced a Management Executive Committee system in June 2006 (Heisei 18). This committee meets in principle twice a month and is composed of directors and executive officers; auditors attend and may state opinions when they deem it necessary. As needed, the committee may also have persons other than these attend and request their opinions or explanations. The company adopts an Audit & Supervisory Board system, and as of June 23, 2023 (Reiwa 5), the Audit & Supervisory Board is composed of four auditors (including two outside auditors). Each auditor audits the directors' performance of their duties through attendance at important meetings, including the Board of Directors, checking matters submitted for approval, and investigating the state of business and assets. An Audit Office has been established, composed of three members. The Audit Office periodically audits whether the operation of business and systems is carried out correctly in accordance with company policies and various regulations, and works to strengthen and enhance the internal audit function. For individual investment, financing, and transaction matters raised as management issues, in order for the Board of Directors or the Management Executive Committee to make more appropriate decisions, this function conducts sufficient preliminary study in advance, incorporating the opinions of external experts with knowledge and experience, compiles issues, challenges, and necessary requirements—including the suitability of the matter—and, depending on the matter, plays the role of submitting opinions to the Board of Directors. The Examination Department's principal duties are to conduct credit-risk screening and investigation of new transactions assumed to be high-risk based on certain criteria, to carry out credit-risk screening, management, and investigation through the setting and changing of credit limits, and to reduce the credit risk of domestic and overseas group companies.
